Biograph

Shui Luo is a widely experienced business and international transactions lawyer, licensed in both Ontario and China. He has combined experience of about 20 years practising in Canada and Greater China, focusing on corporate and commercial business.

 

Prior to opening his own firm, Shui worked with a large Bay Street national firm. There, he handled a wide range of corporate and real estate transactions, including venture capital investments, M&As, and purchase and sale of various commercial real estates.

 

As a result of Shui Luo’s long history of working in big law firms with exposures to a variety of complex legal issues, Shui Luo can bring to his clients the expertise and methodologies only available in top-tier law firms. In terms of those significant transactions requiring a group of lawyers from different disciplines to work collectively for same project, Shui Luo will team up with his contacts in big law firms with which he has close association.

 

Shui Luo is a pragmatic lawyer with decades of experience in commercial deals and always comes up with practical and sound legal solutions for his clients. He always places the needs and interests of his clients above anything else. At times, this may necessitate him working around the clock to get a deal done. This is rare for legal professionals in Canada.     

 

As the founder of the firm, Shui is responsible for every aspect of a client’s file and will serve and communicate with each client personally most of the time.

 

Shui Luo has experiences in various industries including software, blockchain, technology, manufacturing, entertainment, construction, distribution, medical service, education, mining, and oil and gas. He frequently represents early stage start-up and emerging growth companies on corporate and financing matters, as well as mature companies on private M&A, joint venture, venture capital and strategic investment deals.

 

Shui Luo actively participates in community activities and is a founding member of Asia America Innovation Alliance (“AAIA”), a not-for-profit organization established in Toronto for the purpose to promote innovation business among Asia communities across North America. He is also the legal advisor of Waterloo Chinese Business Association and Oak Medical Education Foundation.

  • Representing a Canada based AI company on it’s series-A financing transaction with a top China VC;

 

  • Representing a Canada based start-up company specializing in bioinformatics on its series-A financing transaction;

 

  • Representing a listed company in China on its acquisition of a private school in Ontario – deal value $30 MM;

 

  • Representing a private company in China in legal due diligence on its Canadian subsidiary with substantial distribution business;

 

  • Representing a Toronto based start-up company specializing in the development of event management and ticket sale platform on its $1 MM angel investment transaction;

 

  • Representing a Toronto based start-up company specializing in the digital exhibition service on its angel investment transaction;

 

  • Representing a Canadian private company in acquisition of private school facility in Ontario;

 

  • Representing clients for the sale and purchase of 3 farms in Ontario with value of $2MM - $6 MM

 

  • Advising an Ontario-based land developer on its complicated loan structure for the purpose of acquiring and developing lands in Ontario;

 

  • Advising a Chinese public company on its dispute with a minority shareholder of its Canadian subsidiary and removal of the minority shareholder from the managerial positions in the subsidiary;

 

  • Advising a land developer on the acquisition of limited partnership units and shares associated with a real estate project in Ontario;

 

  • Advising a client on its purchase of vacant land for development of single homes in Ontario;

 

  • Advising a Canada based world renowned personal care products company on its acquisition of two Chinese personal care products manufacturers;
